Grant of License\u003c\/strong\u003e\u003cbr\u003eLicensor grants Licensee a non-exclusive, worldwide, revocable license to use the following intellectual property: Agreed upon designs from Smiley Moon Studio. See more details in\u003cspan\u003e \u003c\/span\u003e\u003cstrong\u003e\u003cspan\u003eSection 7.\u003c\/span\u003e\u003c\/strong\u003e\u003c\/p\u003e\n\u003cp\u003e\u003cstrong\u003e2. Purpose\u003c\/strong\u003e\u003cbr\u003eThe licensed designs may be used solely for the following purpose(s): Creating and selling acrylic jewelry and accessories online and in-person. \u003c\/p\u003e\n\u003cp\u003e\u003cstrong\u003e3. Term\u003c\/strong\u003e\u003cbr\u003eThis Agreement will start on 11\/2\/2026 and continue until 20 units of each design purchased sell, unless terminated earlier in accordance with\u003cspan\u003e \u003c\/span\u003e\u003cstrong\u003e\u003cspan\u003eSection 6\u003c\/span\u003e\u003c\/strong\u003e of this agreement.\u003c\/p\u003e\n\u003cp\u003e\u003cstrong\u003e4. Ownership\u003c\/strong\u003e\u003cbr\u003eLicensor retains all rights and interests in and to the licensed designs. Licensee acknowledges that nothing in this agreement shall be construed as granting any rights other than those explicitly stated. \u003c\/p\u003e\n\u003cp\u003e\u003cstrong\u003e6. Termination\u003c\/strong\u003e\u003cbr\u003eEither party may terminate this agreement at any time. Upon termination, licensed designs can no longer be used for any purpose. If Licensor terminates agreement before 20 units  (or agreed upon amt) of a design(s) is sold, the Licensee has rights to sell the remaining quantity of designs.\u003c\/p\u003e\n\u003cp\u003e\u003cstrong\u003e7. Entire Agreement\u003c\/strong\u003e\u003cbr\u003e\u003cem\u003eAgreement Details: \u003c\/em\u003e\u003c\/p\u003e\n\u003cdiv\u003e- Licensee pays 1x current retail price for each design up front for the rights to manufacture and sell 20 pairs of each design (or specified amt) (2 brooch sales = 1 earring sale) (works out to 5% 'royalty')\u003c\/div\u003e\n\u003cdiv\u003e-If all pairs of a design sell, parties can agree to another payment or revise the agreement.\u003c\/div\u003e\n\u003cdiv\u003e-All designs will be packaged on 'Oh Pluto' packaging.\u003c\/div\u003e\n\u003cdiv\u003e- Oh Pluto will reference Smiley Moon Studio on social media posts and product pages, including adding a website link.\u003c\/div\u003e\n\u003cdiv\u003e- There is no restriction as to where the designs sell in regards to location (US, AUS, UK, etc.)\u003c\/div\u003e\n\u003cdiv\u003e\n\u003cdiv\u003e- Oh Pluto will match Smiley Moon Studio's retail price as closely as possible (accounting for slight variation based on exchange rates)\u003c\/div\u003e\n\u003cdiv\u003e-Slight style modifications can be made of the designs such as acrylic color, size, topper choice, and thickening lines on some designs if needed for laser engraving. \u003c\/div\u003e\n\u003cdiv\u003e-Licensee cannot sell items made using the designs on the Etsy or Faire platforms (unless for arranging orders, etc).\u003c\/div\u003e\n\u003cdiv\u003e\u003cbr\u003e\u003c\/div\u003e\n\u003cdiv\u003eThe designs that will be delivered as SVGs in this agreement:\u003c\/div\u003e\n\u003cdiv\u003e\u003cbr\u003e\u003c\/div\u003e\n\u003cdiv\u003e\n\u003cem\u003eNeon Nudibranch (25 usd)\u003c\/em\u003e\u003cem\u003e\u003c\/em\u003e\n\u003c\/div\u003e\n\u003cdiv\u003e\u003cem\u003eShrimp (25 usd)\u003c\/em\u003e\u003c\/div\u003e\n\u003cdiv\u003e\u003cem\u003eVirtual Pet Shark (28 usd)\u003c\/em\u003e\u003c\/div\u003e\n\u003cdiv\u003e\u003cem\u003eWhaleshark (28 usd)\u003c\/em\u003e\u003c\/div\u003e\n\u003cdiv\u003e\u003cbr\u003e\u003c\/div\u003e\n\u003c\/div\u003e\n\u003cp\u003e\u003cstrong\u003e8.
